Please read these Terms of Service carefully before booking or using any service offered by Toronto AI Tutor. By booking a session, submitting an assessment, or engaging with our services in any way, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Toronto AI Tutor ("Toronto AI Tutor," "we," "us," or "our"), governing your access to and use of our services, website, and any related content or materials.
Your use of this website, submission of an assessment form, or booking of any service constitutes your acceptance of these Terms and our Privacy Policy, which is incorporated herein by reference. These Terms apply to all visitors, clients, and others who access or use our services.
If you are agreeing to these Terms on behalf of an organization (e.g., a business or employer), you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" shall refer to that organization.
Toronto AI Tutor provides AI education, training, and coaching services to individuals and organizations. Our services currently include, but are not limited to:
The specific scope, duration, format, and deliverables of any engagement will be confirmed in writing (including by email) prior to the commencement of paid services. Toronto AI Tutor reserves the right to modify, add, or discontinue any service offering at any time with reasonable notice.
Sessions and workshops must be booked and paid for in advance unless otherwise agreed in writing. Payment confirms your reservation. Accepted payment methods will be communicated at time of booking. All fees are in Canadian dollars (CAD) unless otherwise stated.
You may cancel or reschedule a session with at least 24 hours' notice prior to the scheduled start time without penalty. Cancellations with less than 24 hours' notice may be charged the full session fee at our discretion. Reschedules are subject to availability.
Once a session or workshop has been delivered, no refund will be issued, regardless of the client's satisfaction with the outcome. This applies to all individual tutoring sessions, workshops, and any other services rendered. If you have concerns about service quality, please contact us within 5 business days of delivery and we will make reasonable efforts to address them.
Monthly retainer fees are due at the beginning of each billing period. Retainer arrangements may be cancelled with 30 days' written notice. Unused sessions within a billing period do not roll over and are non-refundable.
Applicable Canadian taxes (including GST/HST) will be added to all invoices where required by law. It is the client's responsibility to comply with any tax obligations in their jurisdiction.
To ensure the best possible experience, you agree to the following as a client of Toronto AI Tutor:
All course materials, session guides, frameworks, templates, prompt libraries, worksheets, slides, handouts, and other content created or provided by Toronto AI Tutor (collectively, "Materials") are and remain the exclusive intellectual property of Toronto AI Tutor. These Materials are protected by Canadian and international copyright and intellectual property laws.
Upon payment and delivery of services, clients are granted a limited, non-exclusive, non-transferable, personal licence to use Materials for their own internal, non-commercial purposes. This licence does not permit you to:
You retain ownership of any documents, data, or materials you share with us during sessions for workflow design or training purposes. You grant Toronto AI Tutor a limited licence to use such materials solely to deliver the agreed services.
Any feedback, suggestions, or ideas you provide regarding our services may be used by Toronto AI Tutor without restriction or compensation to you.
AI outputs are not professional legal, financial, medical, or other regulated advice. Toronto AI Tutor teaches you how to use AI tools effectively, but the outputs generated by those tools — including text, summaries, analysis, or recommendations — do not constitute professional advice of any kind and should not be relied upon as such.
You acknowledge and agree that:
During the course of service delivery, each party may have access to the other's confidential information. Both parties agree to keep such information confidential and not to disclose it to third parties without prior written consent, except as required by law. Toronto AI Tutor will not disclose the contents of your sessions or assessment to third parties except as described in our Privacy Policy.

To the maximum extent permitted by applicable Ontario and Canadian law:
Nothing in these Terms shall operate to exclude or limit liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable Ontario or Canadian law.
You agree to indemnify, defend, and hold harmless Toronto AI Tutor, its operator, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:
This indemnification obligation will survive the termination or expiry of your engagement with Toronto AI Tutor.
Either party may terminate a service engagement with reasonable written notice in accordance with the cancellation terms in Section 3. Toronto AI Tutor reserves the right to immediately suspend or terminate services if you breach these Terms, engage in abusive, fraudulent, or illegal conduct, or otherwise act in a manner that is harmful to Toronto AI Tutor, its personnel, or other clients.
Upon termination, any outstanding fees for services already rendered remain due and payable. Sections 5 (Intellectual Property), 8 (Limitation of Liability), 9 (Indemnification), and 11 (Governing Law) shall survive the termination of these Terms.
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof shall be resolved in the courts of competent jurisdiction located in Toronto, Ontario, Canada. You irrevocably consent to the exclusive jurisdiction of those courts for such purposes.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.
Toronto AI Tutor reserves the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of our services after any modification constitutes your acceptance of the revised Terms. For material changes, we will make reasonable efforts to provide notice (e.g., via email if you are an active client).
